Veterans Memorial Association Bylaws

BYLAWS of
THE ST. ANDREWS AND DISTRICTS VETERANS MEMORIAL SOCIETY
OF ST. ANDREWS , ANTIGONISH COUNTY, NOVA SCOTIA

Article 1 – Name

The name of the Society shall be The St. Andrews and Districts Veterans Memorial Society.

Article 2 – Object

The object of the Society shall be to establish a memorial to the citizens of the St. Andrews Area of Antigonish County who served our country in the defense of freedom.

Article 3 – Members

The membership of this Society shall be open to all persons interested in the objectives of this Society.
“Active Members” shall be any person applying for membership in this Society.
“Associate Members” shall be any Corporation or Association subscribing to the objectives of this Society.
“Honourary Members” shall be any veterans of the Canadian Military having Served in World War II or the Korean Conflict.

Article 4 – Officers

The officers of this Society shall be – President, Vice President, Secretary and Treasurer.
The officers shall be elected by members attending the Annual Meeting.
They shall hold office for a term of one year or until their successors are elected.
The term of their office shall  begin at the close of the Annual Meeting at which they are elected.
No member shall serve more than three successive terms in the same office, or hold more than one office at a time.

Article 5 – Meetings

The regular meetings of the Society shall be held on the second Wednesday of each month from September to May inclusive unless otherwise ordered by the Society,

The regular meeting on the second Wednesday in June shall be known as the annual meeting and shall be for the purpose of electing officers, receiving reports of officers and committees and for any other business that may arise.

A quorum for all meetings shall consist of 5 members.

Article 6 – Executive Board (Board of Directors)

The Executive Board of this Society shall consist of the Societies Officers and Chairs of Standing Committees.

The Executive Board shall have the power to carry out the business of the Society between general meetings of the Society.

Article 7 – Committees

Standing Committees of the Society shall be Finance, Research, Publicity, Building and Audit.

Section 1 – A Finance Committee composed of the Treasurer and four other members shall be appointed by the President promptly after each annual meeting.  It shall be the duty of this Committee to prepare a budget for the fiscal year and coordinate fund raising campaigns.

Section 2 – A Research Committee composed of five members shall be appointed by the President promptly after each Annual Meeting.  It shall be the duty of this Committee to organize and conduct the research necessary to identify all Veterans to be recognized and to obtain personal and military information necessary to properly identify their contribution to world peace.  This Committee shall have the power to add researchers as required.

Section 3 – A Publicity Committee composed of the Secretary and four members shall be appointed by the President promptly after each annual meeting.  It shall be the duty of this committee to publicize all projects or activities undertaken by this Society.

Section 4 – A Building Committee composed of five members shall be appointed by the President promptly after each annual meeting.  It shall be the duty of this committee to facilitate the building of the memorials to honour our  Veterans.

Section 5 – An Auditing Committee of three members shall be appointed by the President at the Society’s  March meeting.  This committee shall audit the Treasurer’s accounts at the close of the fiscal year and report to the annual meeting.

Section 6 – Such other committees, standing or special shall be appointed by the President as the Society shall from time to time deem necessary to carry on the work of the Society.

The President shall be ex officio a member of all committees except the nominating committee.

Article 8 – Parliamentary Authority

The rules contained in the current edition of Robert’s Rules of Order shall govern this Society.

Article 9 – Amendment of By Laws

These bylaws can be amended at any regular meeting of this Society by a two-thirds vote, provided that the amendment has been submitted in writing at the previous regular meeting.
